1. About Saathi360

Saathi360 is a cloud-based Software-as-a-Service (SaaS) platform operated by VENSYAM BUSINESS SYSTEMS (OPC) PRIVATE LIMITED ("Company", "we", "us", "Vensyam"). "Saathi360" is a registered trade name and product of Vensyam. We provide business management software including Point-of-Sale, Inventory, Accounting, HRM, Marketing, Manufacturing, Services, and related modules to registered businesses ("Tenants", "you").

2. Acceptance of Terms

By creating an account, clicking "I agree", or using any part of the Saathi360 platform, you agree to these Terms of Service, our Privacy Policy, and the Refund & Cancellation Policy. These documents together form a legally binding agreement between you and Vensyam Business Systems (OPC) Private Limited. If you do not agree, do not register or use the service.

3. Your Account & Responsibilities

• You are solely responsible for all data entered into your tenant account
• You are responsible for all business activities, customer relationships, payments, deliveries, returns, and disputes within your business
• Saathi360 is a software tool only — we do not participate in, mediate, or underwrite your business transactions
• You must keep your login credentials secure and not share them with unauthorized persons
• You are responsible for compliance with all applicable local, state, and national laws including GST, labour laws, consumer protection, and data protection regulations
• You must ensure that every user you add to your tenant is aware of and agrees to these Terms

4. What We Provide

• Cloud-hosted business management software with a 99.5% monthly uptime target (excluding scheduled maintenance windows communicated in advance)
• Secure data storage with at-rest encryption and daily automated backups (retained 14 days)
• Regular feature updates, bug fixes, and security patches
• Email and in-app support during business hours (Mon–Sat, 10 AM – 7 PM IST)
• Multi-device access via responsive web UI (desktop, tablet, mobile)
• GST-compliant tax invoices for every paid subscription, permanently available in your Account & Billing section

5. What We Do NOT Provide

• We do NOT process payments between you and your customers
• We do NOT handle the physical delivery, shipping, or courier of goods
• We do NOT guarantee any particular business outcome, revenue, or customer acquisition
• We do NOT provide legal, financial, accounting, or tax advice — you should consult your chartered accountant or lawyer for such matters
• We are NOT liable for data entered incorrectly by users, nor for consequential business losses arising from such errors
• We are NOT responsible for losses arising from unplanned downtime, internet connectivity issues, or force majeure events

6. Data Ownership & Privacy

• All business data you enter remains your property
• We will never sell your data to third parties
• We access your data only to provide the service, resolve support issues, and meet legal obligations
• Data is stored on secure servers located in India, in compliance with the Digital Personal Data Protection Act, 2023 (DPDPA)
• You can request data export at any time from your dashboard
• Upon account termination, your data will be retained for 90 days before permanent deletion unless a longer retention is required by law (e.g. the 8-year GST invoice retention mandated by Rule 56 of the CGST Rules)

7. Payment, Subscription & Pricing

• Every new business gets a 30-day free trial on Basic, Standard and Premium plans — no payment, no card, full features. Custom plans are admin-priced and do not include a trial.
• Paid plans are billed yearly in advance (one-time payment for the full 365-day period). The paid year begins on the date the first payment is confirmed.
• All prices shown on the pricing page are exclusive of applicable GST (currently 18%); GST is added at checkout and the tax breakup is shown on the invoice. Eligible GST-registered businesses can claim the GST paid as Input Tax Credit.
• A GST-compliant tax invoice is issued for every paid subscription and is permanently available in your Account & Billing section.
• Failure to renew leads through a documented lifecycle: 7-day grace, then 90 days of read-only data-export access, then suspension. Your data is preserved at every stage.
• We reserve the right to change pricing with 30 days advance notice; existing paid subscriptions are honoured at the price on the invoice until the end of their billing period.

8. Prohibited Use

You must NOT use Saathi360 for:

• Any illegal business activity, or the sale of illegal goods or services
• Storing, processing, or distributing illegal content, including content that infringes intellectual property rights
• Attempting to hack, reverse-engineer, decompile, or disrupt the platform or its security mechanisms
• Sharing your account access with competing businesses or unauthorized third parties
• Mass data scraping, unauthorized API automation, or excessive load that degrades service for other tenants
• Sending unsolicited bulk email, SMS, or WhatsApp messages (spam)
• Any activity that violates the Information Technology Act 2000 or the DPDPA 2023

9. Account Suspension & Termination

• We may suspend or terminate your account for violation of these Terms
• Accounts that don't renew enter a 7-day grace period followed by a 90-day read-only data-export window before suspension; your business data is preserved at every stage
• You may stop using your account at any time by simply not paying the renewal invoice; access continues until the end of the paid period (subscriptions are non-refundable per section 7)
• Suspended accounts can be reactivated by paying for a new subscription; data is preserved indefinitely and resumes on payment
• Termination for Terms-of-Service violation is a separate path; in that case, business data is retained per section 6

10. Limitation of Liability

To the maximum extent permitted by law, Saathi360 and VENSYAM BUSINESS SYSTEMS (OPC) PRIVATE LIMITED shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or relating to your use of the platform, including but not limited to loss of data, loss of business, loss of profits, business interruption, or reputational damage, even if we have been advised of the possibility of such damages. Our total aggregate liability for any claim arising out of or relating to these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any disputes shall be resolved exclusively in the courts of Hyderabad, Telangana, India. For consumer disputes covered under the Consumer Protection Act 2019, the jurisdiction of the relevant consumer forum shall also apply.

12. Changes to These Terms

We may update these Terms from time to time to reflect changes in our service, legal requirements, or industry best practice. We will notify you via email and in-app notification at least 15 days before any material changes take effect. Continued use after the effective date constitutes acceptance of the updated Terms.
